By downloading, installing, or using the Software, you agree to the terms of this Licence. If you do not agree, do not install or use the Software.

Definitions

• AUTHORS / OSKI refers to OSKI solutions OÜ, an Estonian private limited company.
• SOFTWARE refers to the umContentTranslator package for the Umbraco CMS and its associated add-ons, components, the bundled licensing client, and online documentation.
• DOMAIN refers to the domain name specified during the purchase of the Software (a non-top-level / service-provider domain).
• PIPELINE is the collection of Umbraco installations used to deliver the final website on a given DOMAIN. Development, staging, testing, and quality-assurance instances serving the same website are considered part of that PIPELINE.
• LICENSE KEY is a key issued by OSKI (prefix OSKI-CT) that, once activated, entitles you to use the Software under this Licence.
• LICENSING SERVICE is OSKI's online service used to activate and validate License Keys and to enforce trial limits.
• INTELLECTUAL PROPERTY RIGHTS means patents, utility models, rights to inventions, copyright and related rights, trademarks, service marks, trade names, domain names, rights in designs, software, databases, confidential information (including know-how and trade secrets), and all other intellectual property rights, whether registered or unregistered, together with all applications, renewals, and extensions thereof.

License

OSKI grants you a worldwide, revocable in accordance with this Agreement, non-exclusive, non-transferable licence to download and use the Software indefinitely for the versions of the Software available at the time of purchase.

The Software is licensed for one Umbraco website, or the PIPELINE serving the licensed DOMAIN. Additional production domains pointing to the same website may be purchased as add-ons.

Activation and Online Validation

• The Software activates and periodically re-validates the License Key against the LICENSING SERVICE, tied to the activating DOMAIN. You are responsible for providing the connectivity required for activation and validation.
• To tolerate temporary outages, an activated License remains valid for a limited grace period between successful validations. If the License cannot be validated beyond that period, or has been suspended or revoked under this Agreement, the Software reverts to trial behaviour (see Fees, Free Use and Licensing).
• For activation, validation, and trial enforcement, the Software transmits the License Key, activating domain, plugin-instance identifier, and related activation and usage metadata to the LICENSING SERVICE.

Fees, Free Use and Licensing

• Free Ukrainian Translations. Translation of website content into the Ukrainian language is provided free of charge, without usage limits, and is available regardless of whether the Software is used in trial mode or under a valid License. Such translations never consume any trial allowance. OSKI provides this functionality as an ongoing contribution in support of Ukraine.
• Trial Use. If the Software is used without a valid License, it operates in trial mode. During the trial, OSKI may allow a limited number of free translations into languages other than Ukrainian. Trial allowances are determined and enforced by the LICENSING SERVICE and may vary by target language, DOMAIN, PIPELINE, account, user, or other criteria determined by OSKI. Trial allowances may be changed at any time.
• Licensed Use. Once the applicable trial allowance has been exhausted, or where no trial allowance is available, translation into languages other than Ukrainian requires a valid License associated with the applicable DOMAIN, PIPELINE, account, or other licensing scope specified by OSKI.
• Changes to Free Use and Licensing Policy. OSKI reserves the right, at its sole discretion and without prior notice, to modify, suspend, expand, reduce, or discontinue any trial allowances, supported languages, licensing models, pricing, usage limits, or eligibility criteria. This shall not affect the perpetual right to use Software versions already purchased under a valid License. Free and unlimited translation into the Ukrainian language shall continue unless otherwise required by applicable law.
• Unless required by applicable law, all License fees are non-refundable.
• License fees do not include any fees charged by third-party AI providers, including API usage charges. You are solely responsible for all such costs.

Restrictions

Except to the extent expressly permitted by this Licence or by mandatory applicable law, you may not:

• modify, adapt, or create derivative works of the Software;
• rent, lease, lend, sublicense, resell, host as a service, publish, or redistribute the Software or any part of it (other than as part of a website delivered to your client for a properly licensed DOMAIN);
• share, transfer, or reuse a License Key beyond its licensed DOMAIN or PIPELINE;
• reverse engineer, decompile, or disassemble the Software;
• remove or alter proprietary notices;
• disable, bypass, or interfere with License Keys, activation, validation, or trial-enforcement mechanisms.

Third-party AI Providers and Data Protection

The Software sends content selected by the Licensee to the third-party AI provider configured by the Licensee (for example, Anthropic Claude or OpenAI). The Licensee is solely responsible for selecting such providers and for complying with their applicable terms and policies.

The Licensee is solely responsible for determining whether any content submitted through the Software contains personal data and for ensuring that all necessary legal bases, notices, permissions, and consents required under applicable data protection laws have been obtained before such data is processed.

The Software also transmits limited technical information to the LICENSING SERVICE, including the License Key, activating domain, plugin-instance identifier, and related licensing metadata, solely for license activation, validation, fraud prevention, and enforcement of licensing terms.

Each party shall comply with applicable data protection laws with respect to the personal data it processes. Additional information regarding OSKI's processing of personal data is available in the Privacy Policy.

The Licensee acknowledges that third-party AI providers operate independently of OSKI. OSKI does not control and is not responsible for the availability, security, privacy practices, pricing, policies, performance, or outputs of any third-party AI provider.

Warranty Disclaimer

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SOFTWARE IS PROVIDED "AS IS" AND "AS AVAILABLE", WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, SATISFACTORY QUALITY, NON-INFRINGEMENT, OR THAT THE SOFTWARE WILL OPERATE WITHOUT INTERRUPTION OR ERROR.

OSKI DOES NOT WARRANT THAT TRANSLATIONS GENERATED USING THE SOFTWARE OR ANY THIRD-PARTY AI PROVIDER WILL BE ACCURATE, COMPLETE, ERROR-FREE, LEGALLY COMPLIANT, OR SUITABLE FOR ANY PARTICULAR PURPOSE.

YOU ARE SOLELY RESPONSIBLE FOR REVIEWING, VERIFYING, AND APPROVING ALL TRANSLATED CONTENT BEFORE USING OR PUBLISHING IT.

OSKI DOES NOT GUARANTEE THE CONTINUOUS AVAILABILITY OF THE LICENSING SERVICE OR OF ANY THIRD-PARTY AI PROVIDER.

Licensee Content and Indemnity

You represent and warrant that you have all rights necessary to submit content for translation.

You are solely responsible for all content submitted through the Software and for any translated output that you use or publish.

You agree to indemnify, defend, and hold harmless OSKI, its directors, employees, contractors, and affiliates from and against any claims, liabilities, damages, losses, costs, and reasonable legal expenses arising out of:

• your content;
• your use of the Software;
• violation of applicable law;
• infringement of any third-party intellectual property, privacy, or other rights.

Liability

Neither party shall be liable to the other for any indirect, incidental, consequential, special, exemplary, or punitive damages, including loss of profits, revenue, goodwill, business opportunities, or data.

Nothing in this Agreement excludes liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, or any liability that cannot legally be excluded.

Subject to the above, OSKI's total aggregate liability arising out of or in connection with this Agreement shall not exceed one hundred percent (100%) of the License fees actually paid by the Licensee under this Agreement.

The limitations of liability in this section do not apply to the Licensee's breach of this Licence, the Restrictions section, or OSKI's Intellectual Property Rights.

Intellectual Property Rights

The Software is licensed, not sold.

All Intellectual Property Rights in the Software, including any modifications, improvements, updates, or derivative works created by OSKI, remain the exclusive property of OSKI.

All rights not expressly granted under this Agreement are reserved.

Term and Termination

This Agreement remains in effect until terminated in accordance with this section.

Your right to use the versions of the Software available at the time of purchase continues indefinitely unless your License is revoked under this Agreement.

Either party may terminate this Agreement immediately by written notice if the other party:

• commits a material breach that cannot be remedied;
• commits a material breach that is not remedied within thirty (30) days after written notice;
• becomes insolvent, enters liquidation or administration, or has a receiver appointed over substantially all of its assets.

OSKI may suspend or revoke a License Key for misuse, including:

• unauthorized redistribution of the Software;
• sharing, resale, or unauthorized transfer of License Keys;
• attempts to bypass, disable, or interfere with licensing, activation, validation, or trial-enforcement mechanisms;
• any other material breach of this Agreement.

Upon termination, you must immediately cease using and remove all copies of the Software.

The Restrictions, Warranty Disclaimer, Licensee Content and Indemnity, Liability, Intellectual Property Rights, and General sections survive termination.

General

A waiver of any right or remedy is effective only if made in writing and does not constitute a waiver of any subsequent breach.

Except as expressly provided in this Agreement, the rights and remedies available are cumulative and not exclusive.

If any provision of this Agreement is held unenforceable, the remaining provisions shall remain in full force and effect.

You may not assign this Agreement without OSKI's prior written consent. OSKI may assign this Agreement in connection with a merger, acquisition, corporate restructuring, or sale of substantially all of its assets.

This Agreement constitutes the entire agreement between the parties regarding the Software and supersedes all prior understandings relating to its subject matter.

This Agreement and any dispute arising out of or in connection with it, including non-contractual disputes, shall be governed by the laws of Estonia. The courts of Estonia shall have exclusive jurisdiction except where mandatory applicable law provides otherwise.
