License Agreement

END-USER LICENSE AGREEMENT Important - Read carefully:

This End-User License Agreement ("EULA") is a legal agreement between you (either as an individual or a legal entity) and JFK-Solutions, the author and owner of the Software Product "TiaFileFormat", which includes software, associated media, documentation (printed, electronic or online), and any updates or supplements provided.

By installing, copying, or otherwise using the Software Product, you accept the terms of this EULA. If you do not agree to these terms, you are not permitted to use the Software Product, and all copies in your possession must be deleted.

The Software Product is protected by copyright and international treaty provisions. It is licensed, not sold.

DEFINITIONS Commercial Use: Any use of the Software Product—whether in full or in part—for purposes of direct or indirect financial benefit, including distribution, resale, or inclusion in paid solutions or services regardless of whether payment or gain is actually realized.

1. GRANT OF LICENSE. JFK-Solutions grants you the rights described in this EULA provided that you comply with all the terms and conditions of this EULA: Subject to compliance with this EULA, JFK-Solutions grants you a non-exclusive, non-transferable right to use the Software Product according to the license type you have acquired:

   1. License Types

      1. Trial / Evaluation License (Free) You may use the Software Product solely for evaluation during the trial period. Any software built with a trial version must be discarded upon expiration. Distribution, sale, or reuse of trial-licensed code is prohibited.

      2. Single Developer License Grants one named individual a license to install and use the Software Product on their own systems. You may build and distribute commercial and non-commercial software. Other individuals must acquire their own license.

      3. Organizational License Permits installation on unlimited machines within your organization. Internal distribution and use by your employees or contractors is allowed, as long as the Software Product is not distributed outside your organization. A copy of this EULA must be included with any internal distribution.

      4. Cloud License Extends the Organizational License by explicitly permitting deployment in cloud-based environments under your organizational control.

   2. Redistribution.

      1. You are granted a royalty-free license to redistribute in binary form any components of the Software Product explicitly marked as redistributable provided that you provide all technical support for the distribution, you do not allow recipients to disassemble, decompile, or in any other way allowing them to gain separate access to the Software Product or any part of the Software Product.

      2. JFK-Solutions is not obligated to provide support for works derived from the Software Product.

   3. Disassembly. You may not modify this product in any manner. You shall not, nor allow others to copy, in whole or in part, emulate, sub-licence, sell, transfer, exploit, alter, modify or adapt the Software Product nor decompile, dissemble or reverse engineer the same nor attempt to do such thing.

   4. Reservation of Rights. JFK-Solutions retains all rights not explicitly granted in this EULA.

2. ADDITIONAL TERMS

   1. No Rental: Leasing or renting the Software Product is not permitted.

   2. Notices: You must not remove or alter copyright or trademark notices.

   3. Payment: License usage requires payment of the published price or a price mutually agreed upon and invoiced.

   4. Termination: This license may be terminated by JFK-Solutions upon breach of terms. Upon termination, all copies must be destroyed.

   5. Duration: The license is perpetual unless terminated under section 2.4.

   6. Competition Clause: For six (6) months after purchase, you may not develop or distribute software that replicates or competes with core features of the Software Product.

3. SOFTWARE MAINTENANCE & UPDATES

   1. You receive free updates and upgrades for one (1) year from purchase.

   2. After this period, updates require an annual maintenance fee, as defined in your offer or quote. The fee is subject to annual adjustments.

   3. JFK-Solutions may provide limited support via email but is not obligated to.

   4. If you are upgrading from a previous version, installation of the new version constitutes termination of the previous license.

4. EXPORT RESTRICTIONS. You agree to comply with all applicable export laws, including those of the U.S. and any relevant foreign jurisdictions, regarding the Software Product.

5. COPYRIGHT. The Software Product and all associated materials remain the property of JFK-Solutions and are protected by copyright laws. You must treat the Software Product as you would any other copyrighted work.

6. LIMITATION OF LIABILITY

   1. No Warranty: The Software Product is provided "as is" without warranty of any kind.

   2. No Liability: JFK-Solutions shall not be liable for any damages—direct, indirect, incidental, or consequential—arising from the use or inability to use the Software Product, even if JFK-Solutions was advised of such possibilities.

7. DISCLAIMER. THIS SOFTWARE IS PROVIDED "AS IS", WITHOUT A WARRENTY OF ANY KIND. THE AUTHOR OF THIS SOFTWARE ("JFK-Solutions") DON'T TAKE ANY RESPONSE FOR ANY DAMAGES SUFFERED AS A RESULT OF USING, MODIFYING OR DISTRIBUTING THE SOFTWARE. IN NO EVENT WILL JFK-Solutions BE LIABLE FOR ANY LOST REVENUE, PROFIT OR DATA, OR FOR DIRECT, INDIRECT, SPECIAL, CONSEQUENTIAL, INCIDENTAL OR PUNITIVE DAMAGES, HOWEVER CAUSED AND REGARDLESS OF THE THEORY OF LIABILITY, ARISING OUT OF THE USE OF OR INABILITY TO USE SOFTWARE, EVEN IF JFK-Solutions HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. THE AUTHOR DOES NOT WARRANT THAT THE PRODUCT IS FREE FROM BUGS, ERRORS, OR OTHER PROGRAM LIMITATIONS. LIMITATION OF LIABILITY AND DAMAGES TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE AUTHOR IS NOT LIABLE FOR ANY INDIRECT, SPECIAL, INCIDENTAL, OR CONSEQUENTIAL DAMAGES (INCLUDING, BUT NOT LIMITED TO: DAMAGES FOR LOSS OF BUSINESS, LOSS OF PROFITS OR INVESTMENT, OR THE LIKE), WHETHER BASED ON BREACH OF CONTRACT, BREACH OF WARRANTY, TORT (INCLUDING NEGLIGENCE), PRODUCT LIABILITY OR OTHERWISE, EVEN IF THE AUTHOR HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES, AND EVEN IF A REMEDY SET FORTH HEREIN IS FOUND TO HAVE FAILED OF ITS ESSENTIAL PURPOSE. THE AUTHOR WILL NOT BE SUBJECT TO LIABILITY FOR ANY BUGS OR DAMAGES CAUSED BY THE PRODUCT.

8. LANGUAGE OF AGREEMENT. You agree that this EULA be drafted in the English language.
