This software, including all source code, binaries, documentation, and related materials (collectively, the "Software"), is the proprietary property of Disciple Portal Inc. dba KyaMedia.

By installing, accessing, or using the Software, you ("Licensee") agree to be bound by the terms of this agreement.

1. Grant of License

Disciple Portal Inc. dba KyaMedia grants Licensee a limited, non-exclusive, non-transferable, revocable license to use the Software solely for Licensee’s internal business purposes.

Use is restricted to Licensee’s direct employees.

2. Restrictions

Licensee may NOT:

a) Share, sublicense, distribute, sell, lease, loan, or otherwise provide access to the Software to any third party.

b) Provide access to contractors, consultants, vendors, service providers, or partners, including but not limited to development agencies, hosting providers, or managed service companies.

c) Provide access to any organization or individual that competes with Disciple Portal Inc. dba KyaMedia, directly or indirectly.

d) Publish the Software or make it available through any public or private package repository, source control system, or distribution mechanism accessible outside Licensee’s organization.

e) Reverse engineer, decompile, disassemble, or attempt to derive the source code except where expressly permitted by applicable law.

f) Remove or alter any copyright, trademark, or proprietary notices.

For clarity, access by non-employees is expressly prohibited, including temporary staff and third-party vendors.

3. Ownership

The Software is licensed, not sold. Disciple Portal Inc. dba KyaMedia retains all right, title, and interest in and to the Software.

No rights are granted except as expressly stated in this agreement.

4. Confidentiality

Licensee agrees to treat the Software as confidential information and to protect it with at least the same degree of care used to protect its own confidential materials.

5. Termination

This license automatically terminates if Licensee breaches any term of this agreement.

Upon termination, Licensee must immediately cease all use and destroy all copies of the Software.

6. Disclaimer of Warranties

THE SOFTWARE IS PROVIDED "AS IS", WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

7. Limitation of Liability

IN NO EVENT SHALL Disciple Portal Inc. dba KyaMedia BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO THE USE OF THE SOFTWARE.

Disciple Portal Inc. dba KyaMedia’S TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT PAID FOR THE SOFTWARE, IF ANY.

8. Governing Law

This agreement shall be governed by the laws of the State of Florida, without regard to conflict of law principles.

9. Entire Agreement

This agreement constitutes the entire agreement between the parties regarding the Software and supersedes all prior agreements or understandings.
