IMPORTANT
This is a legal agreement between you ("Licensee") and Arkhipov Vladimir ("Licensor").
By installing, copying, accessing, or using the Software, you agree to be bound by the terms of this Agreement.

1. DEFINITIONS
--------------------------------------------------------------------
1.1 "Software" means the VectorRAG.Net package, including all binaries,
libraries, documentation, examples, benchmark projects, updates, and
related materials distributed by the Licensor.
1.2 "Development Use" means software development activities including
coding, debugging, testing, evaluation, benchmarking, proof-of-concept
implementations, research, learning, and internal experimentation.
1.3 "Production Use" means any use of the Software as part of a live,
deployed, customer-facing, revenue-generating, business-critical, or
operational system.
1.4 "Product" means any application, service, API, website, desktop
application, mobile application, SaaS platform, internal business
system, commercial solution, or other software distributed to users
or used in business operations.

2. FREE DEVELOPMENT LICENSE

2.1 The Software may be used free of charge for Development Use.
2.2 The free Development License includes, without limitation:
- local development;
- internal testing;
- quality assurance;
- benchmarking;
- performance testing;
- educational use;
- academic research;
- proof-of-concept projects;
- prototypes;
- non-production environments.
2.3 There are no artificial usage limits, time limits, feature limits,
document limits, vector limits, embedding limits, query limits, or
evaluation periods for Development Use.

3. COMMERCIAL PRODUCTION LICENSE

3.1 Any Production Use requires an active Commercial License.
3.2 A Commercial License is required if the Software is:
- deployed to production;
- used by customers or end users;
- used within a commercial organization for business operations;
- integrated into a commercial product;
- integrated into a SaaS platform;
- used in a revenue-generating service;
- used in a paid product or subscription offering.
3.3 Commercial Production License fee:
USD $1,000 per month.
3.4 The Commercial License grants the right to use the Software in
Production while the subscription remains active.
3.5 Additional commercial terms, invoicing procedures, support terms,
and payment details may be provided separately by the Licensor.

4. RESTRICTIONS
--------------------------------------------------------------------
4.1 Licensee may not:
(a) redistribute the Software as a standalone product;
(b) sell, rent, lease, sublicense, or transfer the Software to third
parties;
(c) remove copyright, trademark, license, or attribution notices;
(d) falsely represent ownership of the Software;
(e) use the Software in Production without an active Commercial License.
4.2 Reverse engineering is prohibited except where such restriction is
not permitted by applicable law.

5. OWNERSHIP
--------------------------------------------------------------------
5.1 The Software is licensed, not sold.
5.2 All intellectual property rights remain the exclusive property of
the Licensor.
5.3 No ownership rights are transferred under this Agreement.

6. UPDATES
--------------------------------------------------------------------
6.1 The Licensor may provide updates, bug fixes, patches, improvements,
or new versions at its sole discretion.
6.2 Availability of updates, support, or additional services may depend
on commercial subscription status.

7. TERMINATION
--------------------------------------------------------------------
7.1 This Agreement remains effective until terminated.
7.2 The Licensor may terminate this Agreement if Licensee materially
breaches any provision of this Agreement.
7.3 Upon termination, Licensee must immediately cease all use of the
Software and remove all copies from systems under Licensee's control.

8. DISCLAIMER OF WARRANTY
--------------------------------------------------------------------
THE SOFTWARE IS PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND, EXPRESS
OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY,
FITNESS FOR A PARTICULAR PURPOSE, TITLE, OR NON-INFRINGEMENT.
THE ENTIRE RISK ARISING OUT OF USE OR PERFORMANCE OF THE SOFTWARE
REMAINS WITH THE LICENSEE.

9. LIMITATION OF LIABILITY

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE LICENSOR SHALL NOT BE LIABLE
FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY
DAMAGES, INCLUDING LOSS OF PROFITS, DATA, BUSINESS INTERRUPTION, OR
OTHER COMMERCIAL DAMAGES OR LOSSES ARISING FROM USE OF THE SOFTWARE.
IN NO EVENT SHALL THE LICENSOR'S TOTAL LIABILITY EXCEED THE AMOUNT
PAID BY LICENSEE FOR THE SOFTWARE DURING THE PRECEDING TWELVE MONTHS.

10. GOVERNING LAW
--------------------------------------------------------------------
This Agreement shall be governed by the laws applicable in the
Licensor's jurisdiction unless otherwise agreed in writing.
