SOURCEGEAR LICENSE AGREEMENT
This License Agreement (“Agreement”) is entered into between SourceGear, LLC (“SourceGear”) and the organization accepting this Agreement (“Licensee”).
By purchasing, downloading, or using the Software (defined below), Licensee agrees to be bound by this Agreement.
1. Definitions
“Software” means the packages, binary distributions, build artifacts, and related materials provided by SourceGear.
“Documentation” means publicly available or provided materials describing build configuration, signing process, and, where applicable, SBOMs, provenance, and lifecycle commitments.
2. License Grant
Subject to this Agreement and payment of applicable fees, SourceGear grants Licensee a:
• non-exclusive
• non-transferable
• non-sublicensable
license to:
a. Install and use the Software;
b. Integrate the Software into Licensee’s internal systems or commercial applications;
c. Distribute the Software only as compiled object code embedded within Licensee’s applications.
Licensee may not distribute the Software as a standalone package.
All rights not expressly granted are reserved by SourceGear.
3. Restrictions
Licensee shall NOT:
a. Distribute, resell, sublicense, rent, lease, or otherwise make the Software available as a standalone product.
b. Remove or alter copyright, trademark, or proprietary notices.
c. Distribute the Documentation.
4. Ownership
The Software is licensed, not sold.
The Software includes third-party components, which are provided under their own open source terms.
SourceGear owns:
• Its build configurations
• Signing materials
• Documentation
• Packaging and distribution processes
SourceGear retains all right, title, and interest in and to the Software, including all intellectual property rights.
Nothing in this Agreement transfers ownership of intellectual property to Licensee.
5. Updates and Support
Unless covered by a separate support agreement:
• SourceGear is not obligated to provide maintenance, support, or updates.
• Updates, if provided, are governed by this Agreement.
6. Disclaimer of Warranties
THE SOFTWARE IS PROVIDED “AS IS” WITHOUT WARRANTY OF ANY KIND.
SOURCEGEAR DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING:
• MERCHANTABILITY
• FITNESS FOR A PARTICULAR PURPOSE
• NON-INFRINGEMENT
SourceGear does not warrant that:
• The Software is error-free
• The Software is free from vulnerabilities
• The Software meets any regulatory standard
7. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW:
SourceGear’s total liability arising out of this Agreement shall not exceed the fees paid by Licensee in the twelve (12) months preceding the claim.
In no event shall SourceGear be liable for:
• Indirect damages
• Lost profits
• Business interruption
• Loss of data
• Consequential or special damages
8. Indemnification
Licensee agrees to indemnify and hold harmless SourceGear from claims arising from:
• Licensee’s use of the Software
• Licensee’s application or product distribution
• Licensee’s modification of the Software
SourceGear does not provide indemnification for open-source components beyond applicable upstream terms.
9. Governing Law
This Agreement shall be governed by the laws of the State of Illinois, without regard to conflict of law principles.
10. Term and Termination
The License Grant described in section 2 remains in effect until terminated.
SourceGear may terminate this License grant immediately if Licensee breaches any term.
Upon termination, Licensee must:
• Cease all use of the Software
• Destroy all copies in its possession
All obligations of the Licensee under this agreement survive termination.
11. Export Compliance
Licensee agrees to comply with all applicable export control laws.
12. Entire Agreement
This Agreement constitutes the entire agreement between the parties regarding the Software and supersedes all prior agreements or understandings.
