Licensor: Reimaginate Pty Ltd

Licensed Work: DataHub version 1.4.0, comprising the public source code,
documentation, samples and tests distributed by the Licensor for that
version, and the following version 1.4.0 NuGet packages:

- Reimaginate.DataHub.VirtualEntities.Abstractions
- Reimaginate.DataHub.SharedModels
- Reimaginate.DataHub.Client
- Reimaginate.DataHub
- Reimaginate.DataHub.AspNetCore
- Reimaginate.DataHub.TestFramework
- Reimaginate.DataHub.TestFramework.XUnit
- Reimaginate.DataHub.TestFramework.Agents.DataHub
- Reimaginate.DataHub.CLI
- Reimaginate.DataHub.CLI.Tools

Any Reimaginate component expressly distributed by the Licensor under a
separate licence, and any third-party component identified by the Licensor as
subject to a separate licence, is excluded from the Licensed Work and remains
subject to that separate licence.

The Licensed Work is © 2022-2026 Reimaginate Pty Ltd.

Additional Use Grant:

You may make production use of the Licensed Work for any purpose other than
providing or operating a Hosted Competitive Offering.

A "Hosted Competitive Offering" means a product or service that:

(a) is offered to one or more third parties in the course of a business on a
hosted, managed, cloud or software-as-a-service basis, whether or not a
separate fee is charged for that product or service;

(b) uses, hosts, operates or makes available the Licensed Work, or a modified
or derivative version of the Licensed Work; and

(c) either:

(i) enables a third party to access or use General-Purpose Integration
Platform Functionality; or

(ii) uses General-Purpose Integration Platform Functionality to provide
integration, data synchronisation, data movement, data transformation or
integration orchestration services to a third party as a primary or material
feature of the product or service; or

(iii) enables a third party to monitor, configure, administer, control or
manage one or more Customer Deployments through a Common DataHub Management
Service.

An offering may be a Hosted Competitive Offering whether or not the Licensor
offers an equivalent hosted service and whether or not a customer directly
accesses a DataHub user interface or application programming interface.

"General-Purpose Integration Platform Functionality" means functionality
that enables the selection or configuration of systems, mappings,
transformations, synchronisation rules, workflows, jobs, connectors or
agents, together with the execution, orchestration, monitoring or
administration of integrations between multiple systems.

"Common DataHub Management Service" means a common provider-operated hosted,
managed or cloud service, including a software-as-a-service offering, or
control plane that:

(a) enables one or more Customers or other third parties to monitor,
configure, administer, control or manage Customer Deployments; and

(b) is designed, marketed or supplied for use with Customer Deployments of
more than one unrelated Customer.

A Common DataHub Management Service remains common whether or not each
Customer Deployment and each Customer's data are logically segregated,
whether it is provider-branded or white-labelled, and whether it enables the
configuration of underlying integrations. It may qualify even if it is
initially used with a Customer Deployment of only one Customer.

A mere application programming interface, webhook, import or export
facility, fixed integration, or product-specific integration setting does
not, by itself, constitute General-Purpose Integration Platform
Functionality.

The following are not Hosted Competitive Offerings:

(a) use of the Licensed Work by an organisation and its Affiliates for their
own internal business operations;

(b) use of the Licensed Work as an ancillary part of another product or
service whose principal purpose is not integration, data synchronisation,
data movement, data transformation or integration orchestration, provided
that the product or service:

(i) is not marketed as an integration platform or managed integration
service; and

(ii) does not offer third parties General-Purpose Integration Platform
Functionality for systems of their choice;

(c) implementation, configuration, customisation, integration, maintenance,
support or other professional services relating to the Licensed Work,
provided that those services are not used to provide or operate a Hosted
Competitive Offering in production;

(d) hosting or operation of a Customer Deployment by a consultant or service
provider on behalf of a Customer for that Customer's own business
operations, including where the consultant or service provider operates
Customer Deployments for multiple Customers, provided that:

(i) each Customer Deployment is used solely for the relevant Customer and
its Affiliates;

(ii) the Customer's access, configuration and data are logically segregated
from those of unrelated Customers, although the Customer Deployment may use
infrastructure shared with other Customers; and

(iii) the consultant or service provider does not market or supply the
Customer Deployments collectively as its own integration platform, Common
DataHub Management Service or other Hosted Competitive Offering, whether
provider-branded or white-labelled; or

(e) development, distribution, licensing or sale of independently developed
connectors, agents, plugins, integrations or other extensions that
interoperate with the Licensed Work, provided that the extension:

(i) does not itself constitute a Hosted Competitive Offering; and

(ii) does not include or copy any part of the Licensed Work and is not a
modified or derivative version of the Licensed Work.

For the purposes of paragraph (d), a management interface that forms part of
one Customer Deployment and is used solely by that Customer, its Affiliates
and the consultant's or service provider's personnel to manage that Customer
Deployment is permitted. The same management-interface software may be
separately deployed for other Customers, including on provider-hosted
infrastructure, provided that the deployments are not connected to a Common
DataHub Management Service or to another customer-facing common control plane
through which Customers can monitor, configure, administer, control or manage
Customer Deployments.

The use of shared identity, licensing, billing, software-update, telemetry,
logging or support infrastructure does not, by itself, constitute connection
to a Common DataHub Management Service.

A consultant or service provider does not provide a Hosted Competitive
Offering merely by using tools accessible only to its personnel to monitor,
administer or support permitted Customer Deployments on behalf of Customers.
Ongoing management, monitoring, maintenance and support of permitted
Customer Deployments do not, by themselves, make those services a Hosted
Competitive Offering.

These permissions do not permit an otherwise prohibited Hosted Competitive
Offering, whether provider-branded or white-labelled.

"Affiliate" means an entity that directly or indirectly Controls, is
Controlled by, or is under common Control with another entity.

"Control" means ownership of more than 50 per cent of the voting interests
of an entity or the legal power to direct its management.

"Customer" means an organisation for which a consultant or service provider
performs implementation, hosting, operational, maintenance or support
services.

"Customer Deployment" means a deployment of the Licensed Work operated for
one Customer and that Customer's Affiliates for their own business
operations.

For the avoidance of doubt, this Additional Use Grant does not restrict a
product or service independently developed without copying, modifying,
embedding, hosting or otherwise using the Licensed Work.
