QuestPDF is dual-licensed. This document contains the License Selection Guide, the Community License, and the Professional / Enterprise License.

License Selection Guide

Introduction
This guide explains how to choose the correct QuestPDF license for your use.
It is not a stand-alone license. The legally binding license terms are contained in the applicable Community, Professional, or Enterprise License Agreement.
Definition of "Developer"
For QuestPDF licensing purposes, a "Developer" is an individual who, as part of their regular work duties, writes, modifies, compiles, or reviews source code — including automated test code — that imports, references, or directly calls QuestPDF APIs.
This includes employees, contractors, and consultants.
Code generated by an AI coding tool or agent on behalf of an organisation is treated as written by a Developer of that organisation.
The following are not Developers for QuestPDF licensing purposes unless they also perform the activities described above:
- end users of the resulting application;
- QA personnel who do not write or modify code that calls QuestPDF APIs;
- DevOps or infrastructure personnel who only deploy or operate applications;
- persons who only configure applications without writing or modifying QuestPDF integration code; and
- persons who only consume the PDF output.
Build servers and CI/CD pipelines do not require separate licenses.
All QuestPDF paid licenses cover an unlimited number of Developers. This definition describes who must be covered by a license, not how many licenses you need.
Definition of "Production Use"
For QuestPDF licensing purposes, "Production Use" means any use of the Software other than internal evaluation, development, testing, technical review, or learning. It includes, in particular, use of the Software in a live or operational environment, use that processes real business or end-user data, and any distribution of the Software to third parties as part of a Derivative Application.
References to "production use" elsewhere in the QuestPDF documents have this meaning.
License Equality
All QuestPDF license tiers provide the same core product functionality.
In particular, all tiers allow you to:
- use the same core QuestPDF features;
- use QuestPDF with an unlimited number of Developers;
- build commercial applications;
- deploy an unlimited number of your own applications; and
- redistribute QuestPDF royalty-free as a compiled component of your own applications.
Support entitlements, eligibility rules, and update rights may differ by license tier.
Community License Eligibility
You may use QuestPDF under the Community License at no charge if any of the following applies:
Individual use — any individual using the Software for personal projects, including commercial projects, provided the individual's annual gross revenue from all sources does not exceed the threshold stated in category (6).
Learning and evaluation — any individual using the Software for learning, evaluation, or training purposes, regardless of revenue.
Charitable organisations. A charitable or public-benefit organisation recognised under applicable law whose primary purpose is charitable, humanitarian, educational, scientific, environmental, or similar public-benefit activity.
Non-profit legal form or tax status alone is not sufficient: an organisation that primarily serves the commercial, professional, or economic interests of its members, founders, or affiliated businesses — such as a trade association, industry body, business league, or an entity organised as a non-profit primarily for tax or structuring purposes — is not eligible under this category and is treated as an ordinary business under category (6).
Academic institutions. An academic institution, whether public or private, that is publicly funded or operated on a non-profit basis, using QuestPDF for teaching, research, or its own educational administration. A for-profit education provider does not qualify under this category and is treated as an ordinary business under category (6).
Open-source projects. An open-source project distributed under an OSI-approved license.
This category does not apply where the open-source project is structured primarily to allow a commercial entity to avoid licensing fees for its own underlying commercial use of the Software.
Small businesses. An organisation with annual gross revenue under USD 1,000,000 in its most recently completed fiscal year, measured on a consolidated basis across entities under common control.
If your financial reporting currency is not USD, use a reasonable annual average exchange rate published by a relevant central bank or similar official source. If your organisation has not yet completed its first fiscal year, measure eligibility using a good-faith estimate of your annualised gross revenue for the current fiscal year.
Transitive dependency users. A person or organisation whose own code does not directly reference or call QuestPDF APIs, but that uses another library or product that depends on QuestPDF internally.
This category does not apply where the intervening library or product is primarily a wrapper, façade, or thin abstraction over QuestPDF — that is, where its main function is to expose QuestPDF's PDF-generation capability rather than to provide substantial functionality of its own. In that case, the required license is determined as if your code referenced QuestPDF directly.
Public-sector entities and government agencies — other than academic institutions covered by category (4) — and publicly traded companies are not eligible for the Community License, regardless of revenue.
Choosing Between Professional and Enterprise
If your organisation does not qualify for the Community License, you must obtain a paid license before production use.
Both paid licenses provide the same product and cover an unlimited number of Developers. They differ in license scope and in the commercial terms around the product:
- the Professional License covers a single Licensee: one individual or legal entity. It is the right choice for most organisations, regardless of how many Developers use QuestPDF;
- the Enterprise License covers the Licensee together with its Affiliates (entities connected by more than 50% ownership or control). It also includes a defined support response target, priority handling for business-critical issues with off-schedule releases, a strengthened product continuity commitment, and enterprise procurement options such as purchase orders, direct invoicing, supplier onboarding, signed Order Forms, and multi-year terms.
The number of Developers never determines your license tier. The Professional License is insufficient only when Developers of more than one individual or legal entity need to be covered. In that case, each requires its own Professional License, or one entity may hold an Enterprise License that covers its Affiliates.
Any organisation may choose the Enterprise License even if the Professional License would be sufficient.
Both paid licenses can be purchased through the QuestPDF website, through software resellers and procurement providers, or under a signed Order Form.
Renewal Pricing
Paid licenses renew at the Licensee's Locked Renewal Price — in short, the price of your preceding term, disregarding discounts identified as one-off. For as long as you renew continuously, QuestPDF will not increase it. Fees or markups added by resellers or other intermediaries are outside QuestPDF's control and are not covered by the Price Lock. The binding terms, including the treatment of short lapses in renewal and prospective packaging changes, are stated in the Professional / Enterprise License Agreement.
Self-Certification and Compliance Verification
QuestPDF relies on good-faith self-certification for license eligibility. QuestPDF does not perform routine audits.
If QuestPDF reasonably believes that a license may be used outside its permitted scope, QuestPDF may request written confirmation of compliance from an authorised representative no more than once in any 12-month period. QuestPDF will give reasonable prior notice for that request.
If the review shows that a different license should have been purchased, you must promptly obtain the correct license and pay any applicable shortfall.
QuestPDF will treat non-public information provided for compliance review as confidential.
A refusal to cooperate in good faith or a knowing material misrepresentation may be treated as a material breach.
Threshold Transition
If you stop qualifying for the Community License, you have a 90-day transition period to do one of the following:
- confirm that you remain eligible;
- purchase the correct paid license; or
- stop using QuestPDF.
The transition period begins: at the end of the fiscal period in which the revenue threshold was exceeded, where that is the reason eligibility was lost; on the date of a merger, acquisition, or other change of control, where eligibility is lost as a result of that event (including through consolidated revenue); and on the date eligibility is lost, in all other cases.
Continued use after the applicable transition period without the correct license is a breach of the applicable license terms.
Paid-License Evaluation
An organisation that does not qualify for the Community License may evaluate QuestPDF for up to 60 days before purchasing a paid license.
Evaluation use is limited to internal testing, technical review, and non-production use. It does not permit production deployment or distribution to third parties.
If you want to use QuestPDF in production and you do not qualify for the Community License, you must first purchase the appropriate paid license.
Agencies, Resellers, and Ultimate Ownership
If QuestPDF is used to develop software for a client, customer, or other third party, the required license is determined by the entity that ultimately owns, controls, commercially uses, or receives the primary business benefit from the resulting Derivative Application or service. If those criteria point to more than one entity, the entity that receives the primary business benefit from the Derivative Application or service determines the required license.
A license may be purchased by a reseller, procurement provider, software development agency, contractor, consultant, or similar third party on behalf of that entity. Unless a signed Order Form states otherwise, the client or end customer identified in the purchase record is the Licensee.
All individuals who write, modify, compile, or review code (including automated test code) that imports, references, or directly calls QuestPDF APIs for that project are covered by the Licensee's license, whether they work for the Licensee, the agency, or another third party.
For clarity: an agency, software house, contractor, or consultant does not need its own QuestPDF license for work on a client's project. It needs its own license only where it is itself the entity described above — for example, for its own products or internal tools — and its own situation then determines the correct license.
Community License

QuestPDF Community License
In plain language: QuestPDF is free for individuals and businesses with annual gross revenue under USD 1,000,000, and for charitable organisations, academic institutions, and open-source projects. Public-sector entities and publicly traded companies are not eligible, regardless of revenue. All eligible users may use QuestPDF for commercial purposes. If you stop qualifying, you have a 90-day transition period to purchase a paid license.
This is a source-available commercial license. It is not an OSI-approved open-source license, and the MIT License does not govern use of the Software under this Community License.
Definitions
- QuestPDF means Marcin Ziąbek, operating as Marcin Ziąbek CodeFlint (sole-proprietorship registered in Poland), and its successors and assigns.
- Software means the QuestPDF library and its documentation.
- You and your mean the individual or legal entity using the Software under this Community License.
- Derivative Application means your own software application that uses the Software, but is not itself a library, SDK, or other developer component whose primary purpose is general-purpose PDF generation.
Grant of License
Subject to this Community License and the License Selection Guide, QuestPDF grants you a non-exclusive, worldwide, royalty-free license to:
- use and copy the Software;
- modify the Software for your own internal use; and
- redistribute the Software only as a compiled component of your own Derivative Applications.
No ownership of the Software is transferred to you.
Eligibility
You may use this Community License only if you fall within one of the eligibility categories described in the License Selection Guide.
That includes, in summary:
- individual use, including commercial projects, below the stated revenue threshold;
- learning and evaluation;
- qualifying charitable organisations;
- qualifying academic institutions (public or private non-profit);
- eligible open-source projects;
- qualifying small businesses below the stated revenue threshold; and
- transitive-dependency users whose own code does not directly call QuestPDF APIs.

Threshold Transition
If you stop qualifying for the Community License, you must, within the applicable transition period, either:
- purchase the appropriate paid license; or
- stop using the Software.
The transition period is 90 days and begins:
- where eligibility is lost because annual gross revenue exceeded the threshold stated in the License Selection Guide, at the end of the fiscal period in which the threshold was exceeded;
- where eligibility is lost as a result of a merger, acquisition, or other change of control — including where the revenue threshold is exceeded on a consolidated basis as a result of that event — on the date of that event; and
- in all other cases, on the date eligibility is lost.
Continued use after the applicable transition period without the correct license is a breach of this Community License.
License Restrictions
You may not:
- use QuestPDF names, logos, or other branding in a way that implies endorsement or affiliation without prior written permission, except for truthful factual statements such as "Built with QuestPDF";
- remove or obscure proprietary notices in the Software;
- sell, sublicense, rent, lease, or otherwise grant third parties rights to the Software itself except as expressly permitted by this Community License;
- use the Software primarily to develop, market, distribute, or operate a library, SDK, API, hosted service, or other developer component whose primary purpose is general-purpose PDF generation and that competes with QuestPDF;
- reverse engineer, decompile, or disassemble the Software except to the extent such activity cannot lawfully be restricted under applicable law or constitutes good-faith security research authorised under the QuestPDF Security Policy;
- use the Software or QuestPDF source code as training data for a machine learning model, except for ordinary developer use of code assistants or similar tools in connection with your own integration work.
For clarity, this section does not prohibit you from building ordinary applications or services that include PDF generation as one feature among others.
Copyright Notice
If you redistribute the Software as a compiled component of a Derivative Application, you must not remove or obscure QuestPDF's proprietary notices from the Software itself.
For clarity, this Community License does not grant a right to redistribute the Software in source form.
Limitation of Liability
The Software under this Community License is provided 'AS IS' without warranty of any kind, whether express, implied, statutory, or otherwise, including without limitation warranties of merchantability, fitness for a particular purpose, title, and non-infringement, to the maximum extent permitted by applicable law.
Because this Community License is provided free of charge, QuestPDF's total aggregate liability arising out of or relating to this Community License will not exceed USD 100.
Nothing in this Community License excludes or limits liability to the extent such liability cannot be excluded or limited under applicable law, including liability for fraud, willful misconduct, death or personal injury caused by negligence, or any other non-excludable liability.
To the maximum extent permitted by law, QuestPDF is not liable for any indirect, consequential, special, incidental, exemplary, or punitive damages, or for loss of profits, revenue, business opportunity, or data.
QuestPDF provides no indemnity under this Community License.
Applicable Version
The version of this Community License distributed or published with a given release of the Software governs your use of that release. A later version of this Community License applies to a release only if it was distributed with that release or you expressly accept the later version.
Governing Law
This Community License is governed by the laws of Poland, excluding conflict-of-laws rules and excluding the United Nations Convention on Contracts for the International Sale of Goods (CISG).
Any dispute arising out of or relating to this Community License shall be brought before the competent courts of Poland having jurisdiction over QuestPDF's registered seat, except to the extent mandatory law requires otherwise.
Third-Party Components / OSS components
The Software includes certain third-party open-source components. Such components remain subject to their own license terms, which are included with or referenced in the QuestPDF NuGet package.
If there is a conflict between this Community License and a mandatory third-party license applying to such a component, the third-party license controls only for that component.
Termination
This Community License continues until terminated.
QuestPDF may terminate this Community License if you materially breach it and do not cure the breach within a reasonable period after notice, if cure is possible.
Upon termination, you must stop new use of the Software and delete or destroy your remaining copies of the Software.
Termination does not by itself require your end users to stop using Derivative Applications that were lawfully distributed before termination, but you may not continue developing, distributing, or supporting those Derivative Applications in a way that requires further use of the Software in breach of this Community License.
Sections that by their nature should survive termination, including ownership, the License Restrictions, limitation of liability, governing law, and the Third-Party Components / OSS components section, survive termination.
Severability
If any provision of this Community License is held unenforceable, the remaining provisions remain in effect.
Assignment
You may not assign or transfer this Community License without QuestPDF's prior written consent. QuestPDF may assign this Community License without restriction.
Entire Agreement
This Community License, together with the License Selection Guide and the Security Policy, constitutes the entire agreement between you and QuestPDF regarding the use of the Software under this Community License.
Use of the questpdf.com website and the general commercial relationship with QuestPDF are governed by the Terms of Service; in the event of a direct conflict concerning use of the Software, this Community License controls.
Professional / Enterprise License

Definitions
For purposes of this Agreement:
QuestPDF means Marcin Ziąbek, operating as Marcin Ziąbek CodeFlint (sole-proprietorship registered in Poland), and its successors and assigns.
Software means the QuestPDF library, its documentation, and any Updates made available during an active Update and Support Term.
Licensee, you, and your mean the individual or legal entity identified as the licensee or end customer in the applicable order, quote, invoice, license confirmation document, Order Form, or other purchase record.
If those records identify different licensees or end customers, a signed Order Form controls; otherwise the license confirmation document issued by QuestPDF controls. If no separate end customer is identified, the Licensee is the individual or entity that purchased the license.
During Evaluation Use, Licensee, you, and your mean the individual or legal entity performing the evaluation.
Developer has the meaning stated in the License Selection Guide.
Affiliate means an entity that controls, is controlled by, or is under common control with a party, where control means ownership of more than 50% of the relevant voting interests or equivalent governance power.
Purchase Date means the date the license is purchased.
Update and Support Term means the 12-month period starting on the Purchase Date, and each renewed 12-month period for which the applicable fee is paid.
Updates means new versions, fixes, patches, and improvements that QuestPDF generally makes available during an active Update and Support Term.
Derivative Application means your own software application that uses the Software, but is not itself a library, SDK, or other developer component whose primary purpose is general-purpose PDF generation.
Fees means the amounts payable for the license and any renewal of the Update and Support Term.
Locked Renewal Price means the price at which your current Update and Support Term was purchased or renewed, disregarding any discount that QuestPDF expressly identified as a one-off, promotional, or otherwise non-recurring discount at the time it was granted. Channel, volume, or reseller discounts granted to a reseller or other intermediary, rather than to you, are likewise disregarded.
Order Form means a mutually executed commercial document that states specific commercial terms for your purchase.
Enterprise Addendum means a mutually executed addendum to this Agreement that states enterprise-specific terms for your purchase.
Grant of License
Subject to this Agreement and payment of applicable Fees, QuestPDF grants you a worldwide, non-exclusive, non-transferable license, except as expressly permitted in the Assignment section, to install, use, and integrate the Software as permitted by this Agreement.
For accepted invoice-based, reseller, procurement-provider, or Order Form purchases, license rights begin when QuestPDF issues a license confirmation document or otherwise accepts the order, even if payment is due later. Those rights are conditional on timely payment and terminate automatically if the transaction is cancelled for non-payment, remains unpaid after any applicable cure period, refunded, reversed, charged back, or otherwise invalidated.
If the Fees for a license or a renewal are refunded, reversed, charged back, or otherwise invalidated, the license rights attributable to that payment terminate automatically as of the refund, reversal, chargeback, or invalidation. A refunded or invalidated initial purchase ends the license. A refunded or invalidated renewal ends the perpetual rights only for versions first made available during the affected term; perpetual rights for versions obtained during earlier, fully paid terms remain in effect.
Perpetual License
The license is perpetual as to the specific versions made available to you during an active Update and Support Term. This means that, even if you do not renew, you may continue using those versions under this Agreement.
To the maximum extent permitted by applicable law, QuestPDF waives any statutory or other right to terminate or revoke this perpetual license, other than for the causes expressly stated in the Term and Termination section.
License Permissions
Within the applicable license scope, you may:
- use the Software to develop, build, and maintain an unlimited number of Derivative Applications;
- deploy Derivative Applications that include the Software in any environment, including development, testing, staging, and production;
- redistribute the Software royalty-free as a compiled component of your Derivative Applications;
- make a reasonable number of backup copies of the Software; and
- modify the Software for your own internal use, subject to the License Restrictions.
End users of your Derivative Applications do not need a separate QuestPDF license merely to use those applications.
Your license covers all Developers engaged by or working on behalf of the Licensee, without any limit on their number.
A Professional License covers a single Licensee: one individual or legal entity. If Developers of more than one individual or legal entity need to be covered, each requires its own Professional License, or one entity may hold an Enterprise License covering its Affiliates as described below.
If you hold an Enterprise License, your license additionally covers all Developers engaged by or working on behalf of the Licensee's Affiliates. The Licensee is responsible for its Affiliates' compliance with this Agreement, and use of the Software by an Affiliate is treated as use by the Licensee. Affiliate coverage is part of the license scope, not an assignment of this Agreement, and it ends for an entity that ceases to be an Affiliate.
License Restrictions
You may not:
- use QuestPDF names, logos, or other branding in a way that implies endorsement or affiliation without prior written permission, except for truthful factual statements such as "Built with QuestPDF";
- sell, sublicense, rent, lease, or otherwise grant third parties rights to the Software itself except as expressly permitted by this Agreement;
- remove or obscure proprietary notices in the Software;
- use the Software primarily to develop, market, distribute, or operate a library, SDK, API, hosted service, or other developer component whose primary purpose is general-purpose PDF generation and that competes with QuestPDF;

- reverse engineer, decompile, or disassemble the Software except to the extent such activity cannot lawfully be restricted under applicable law or constitutes good-faith security research authorised under the QuestPDF Security Policy;

Ownership and Customer Content
QuestPDF retains all right, title, and interest in and to the Software, including all intellectual property rights. This Agreement grants a license to use the Software; it does not transfer ownership of the Software.
You retain all right, title, and interest in and to your own applications, documents, data, and other content created by or processed through your systems using the Software.
If you provide QuestPDF with feedback, suggestions, or ideas relating to the Software, QuestPDF may use them without restriction and without any obligation to you. Feedback is not treated as your confidential information unless the parties separately agree otherwise in writing.
Subscription and Renewal
Each purchase includes a 12-month Update and Support Term.
Website purchases: If you purchased a license through the QuestPDF website, your Update and Support Term renews automatically for additional 12-month periods at the price determined under the Price Lock below, unless you cancel before the end of the current Term. You can cancel through the cancellation link provided in your purchase and renewal emails, through our Customer Portal, or by contacting QuestPDF at contact@questpdf.com. Transaction and payment questions can also be directed to Paddle, our Merchant of Record, at help@paddle.com.
Invoice-based purchases: If you purchased a license under a signed Order Form or by direct invoice, your Update and Support Term does not renew automatically. At the end of each Term, renewal requires a new Order Form or purchase. The commercial terms in a signed Order Form control for the period stated there.
Any renewal affects only future update and support rights; it does not cancel or reduce your perpetual right to continue using versions already obtained during a paid term. If the Update and Support Term is not renewed, your perpetual right to continue using versions obtained during the paid term remains in effect. You will not receive further updates or support until a new Update and Support Term is purchased.
Price Lock: Your Update and Support Term renews at your Locked Renewal Price. For as long as you renew continuously, QuestPDF will not increase your Locked Renewal Price. QuestPDF may charge a lower price for a given term at its discretion. Where QuestPDF expressly identified that lower price as a one-off, promotional, or otherwise non-recurring discount at the time it was granted, the discount applies only to that term, does not change your Locked Renewal Price, and the next renewal returns to your Locked Renewal Price.
The Price Lock applies to every Licensee, including where renewals are purchased or processed by a reseller, procurement provider, or other intermediary on the Licensee's behalf. In that case, the Price Lock applies to the price charged by QuestPDF for the transaction; any fees, margins, or markups added by the intermediary are outside QuestPDF's control and are not covered by the Price Lock.
A renewal completed within 30 days after the end of the preceding Update and Support Term is treated as continuous. If a longer lapse occurs, the Price Lock ends, any later purchase is made at the then-current price, and that price establishes a new Locked Renewal Price.
The Price Lock protects your price, not the packaging: QuestPDF may change its licensing model or packaging prospectively with at least 90 days' notice. If QuestPDF migrates continuously renewing Licensees to a successor offering as part of such a change, your renewal price for the successor offering will not exceed your Locked Renewal Price for as long as you continue to renew continuously.
Prices are exclusive of applicable taxes, which are calculated and handled by Paddle as Merchant of Record. Pricing stated in a signed Order Form controls for the period stated in that Order Form.
QuestPDF will use commercially reasonable efforts to provide advance notice of upcoming renewals.
Post-Expiration Rights
If your Update and Support Term expires or is not renewed, you may continue using the versions of the Software made available to you during your active paid term.
After expiration, you are no longer entitled to new Updates or ongoing support unless you renew or the parties agree otherwise in writing.
Evaluation Use
Before purchasing, QuestPDF grants you a limited, non-exclusive, non-transferable evaluation license to use the Software internally for up to 60 days for testing, review, learning, and other non-production purposes, free of charge and subject to the License Restrictions and the other terms of this Agreement.
Evaluation use does not include production deployment or distribution to third parties. Continued use after the evaluation period requires qualification under the Community License or purchase of the appropriate paid license.
Source Code Availability
QuestPDF may make source code available through an official repository or other distribution method.
Any such availability is provided for transparency, review, debugging, business continuity, and similar legitimate use. It does not expand your license rights beyond this Agreement.
QuestPDF may change how source code is distributed from time to time, but your rights to versions already obtained during an active paid term remain governed by this Agreement.
Confidentiality
Each party must protect the other party's non-public business, technical, and commercial information disclosed in connection with this Agreement using reasonable care and may use that information only for purposes of this Agreement.
Confidential Information does not include information that:
- is or becomes public without breach of this Agreement;
- was already lawfully known to the receiving party without confidentiality restrictions;
- is independently developed without use of the disclosing party's Confidential Information; or
- is lawfully received from a third party without confidentiality restrictions.
A party may disclose Confidential Information if required by law, provided it gives prior notice where legally permitted. These confidentiality obligations survive for 3 years after disclosure.
Term and Termination
Either party may terminate this Agreement if the other fails to cure a material breach, including unpaid fees, within 30 days after written notice.
QuestPDF may terminate immediately if you intentionally violate the License Restrictions or QuestPDF’s intellectual property rights.
Upon termination for your breach, your right to Updates and support ends. Your perpetual right to continue using versions already obtained during a paid term survives termination, unless the termination was due to your uncured or intentional violation of the License Restrictions or QuestPDF’s intellectual property rights.
Termination does not require you to recall Derivative Applications already distributed to end users, provided that you do not continue modifying, rebuilding, redistributing, or otherwise using QuestPDF in breach of this Agreement.
Limited Warranty
For 90 days after the Purchase Date, QuestPDF warrants that the Software will perform in all material respects in accordance with the applicable published documentation.
If QuestPDF breaches this warranty, QuestPDF may, at its option, either:
- use commercially reasonable efforts to correct or replace the affected Software; or
- if correction or replacement is not commercially reasonable, terminate the affected license and refund the Fees paid for the then-current Update and Support Term. Upon that refund, the license rights for versions first made available during the refunded term end; perpetual rights for versions obtained during earlier, fully paid terms remain in effect.
This is your exclusive remedy for breach of this warranty.
This warranty does not apply to issues caused by modifications not made by QuestPDF, unsupported third-party combinations, misuse, or evaluation use.
Except for the express warranty above, the Software is provided "AS IS" to the maximum extent permitted by law, and QuestPDF disclaims all other warranties, whether express, implied, statutory, or otherwise, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
Nothing in this Agreement limits any non-waivable rights that cannot be excluded under applicable law.
Limitation of Liability
To the maximum extent permitted by law, QuestPDF's total aggregate liability arising out of or relating to this Agreement will not exceed the Fees paid or payable by you for the Update and Support Term in which the event giving rise to the claim occurred (or, if no Update and Support Term is in effect at that time, for your most recent Update and Support Term), and in any case no more than USD 10,000.
To the maximum extent permitted by law, neither party is liable for any indirect, consequential, special, incidental, exemplary, or punitive damages, or for any loss of profits, revenue, goodwill, business opportunity, or data, even if advised of the possibility of those damages.
Nothing in this Agreement excludes or limits liability to the extent such liability cannot be excluded or limited under applicable law, including liability for fraud, willful misconduct, death or personal injury caused by negligence, or any other liability that the law treats as non-excludable.
The limitations in this section apply regardless of the legal theory of the claim and even if a limited remedy fails of its essential purpose.
Intellectual Property Indemnification
Except as expressly stated in a signed Order Form or Enterprise Addendum, the Professional and Enterprise Licenses do not include intellectual property indemnification, and QuestPDF does not assume an obligation to defend you against, or pay damages arising from, third-party intellectual property claims.
If a third party claims that your authorised use of the unmodified Software infringes its intellectual property rights, QuestPDF may, at its sole option:
- procure the right for you to continue using the Software;
- modify or replace the affected part of the Software to avoid the alleged infringement; or
- terminate the affected license and refund the Fees paid for the then-current Update and Support Term.
To the maximum extent permitted by applicable law, this section states QuestPDF’s sole liability, and your sole and exclusive remedy, for any third-party claim alleging that the Software infringes, misappropriates, or otherwise violates intellectual property rights.
Licensee Indemnification
You will defend QuestPDF against any third-party claim arising from:
- your Derivative Applications, data, documents, or other content, except to the extent the claim is caused by the unmodified Software itself;
- your use of the Software in violation of this Agreement or applicable law;
- your modification, combination, or distribution of the Software outside the scope permitted by this Agreement; or
- your willful infringement or misappropriation of QuestPDF's intellectual property rights.
You will pay damages finally awarded by a court or agreed in a settlement signed by you, provided that QuestPDF promptly notifies you of the claim, gives you reasonable control of the defence and settlement, and provides reasonable cooperation at your expense.
Your obligations under this section are subject to the exclusion of indirect and consequential damages in the Limitation of Liability section. However, your total aggregate liability under this indemnification section will not exceed three times (3x) the total Fees paid or payable by you in the twelve (12) months preceding the claim, or USD 30,000, whichever is greater. This cap does not apply to claims arising from your fraud, willful misconduct, or willful infringement of QuestPDF's intellectual property rights.
Export Control and Sanctions
You represent that you will comply with applicable export control and economic sanctions laws in connection with the Software.
You may not use, export, re-export, or transfer the Software in violation of such laws or to a prohibited person or destination.
High-Risk Activities
The Software is general-purpose document-generation software and is not designed or warranted for fail-safe use in hazardous or safety-critical environments where malfunction could reasonably be expected to cause death, personal injury, or severe physical or environmental harm.
You are responsible for determining whether the Software is suitable for your particular use case.
Data Protection
The Software runs within your own environment and does not send customer application data to QuestPDF.
For QuestPDF's own processing of license, support, and related business-contact data, the Privacy Policy applies. Unless otherwise agreed in writing, the parties do not require a separate data processing agreement for ordinary use of the Software itself.
Compliance Verification
License eligibility is based on good-faith self-certification under the License Selection Guide.
QuestPDF may request reasonable written confirmation of compliance in the circumstances described in the License Selection Guide.
Support
During an active Update and Support Term, you may contact QuestPDF at contact@questpdf.com for product support relating to documented functionality, integration questions, and bug reports.
Unless a signed Order Form states otherwise, support is provided on a reasonable-efforts basis during Central European Time business hours, Monday through Friday, excluding public holidays in Poland.
If you hold an Enterprise License, QuestPDF will use commercially reasonable efforts to provide a first qualified response to your support requests within one business day, measured in Central European Time, Monday through Friday, excluding public holidays in Poland. A qualified response is a substantive human response addressing the request; an automated acknowledgment is not a qualified response. A response target is not a resolution commitment. No service credit or other specific remedy applies to a missed target, and this paragraph is subject to the Limitation of Liability and Force Majeure sections.
If you hold an Enterprise License, QuestPDF will additionally use commercially reasonable efforts to prioritise the investigation and remediation of business-critical issues and, where the issue is resolved by a code change, to make the fix available through an off-schedule release rather than waiting for the next scheduled release. A business-critical issue is a defect in the unmodified Software that materially impairs production use of your Derivative Application and for which no reasonable workaround is available, as reasonably determined by QuestPDF. Prioritised handling is an effort commitment, not a guaranteed resolution or release timeframe. No service credit or other specific remedy applies, and this paragraph is subject to the Limitation of Liability and Force Majeure sections.
Any support commitment beyond this section, including any different target response time or other enterprise-specific support term, applies only if expressly stated in a signed Order Form or Enterprise Addendum.
Force Majeure
Neither party is liable for delay or failure to perform caused by events beyond its reasonable control, excluding payment obligations that arose before the event.
The affected party must use commercially reasonable efforts to reduce the impact of the event and resume performance.
Injunctive Relief
Each party acknowledges that a material breach of the License Restrictions, Confidentiality section, or intellectual property provisions may cause harm not adequately remedied by money damages alone.
Subject to applicable law, the non-breaching party may seek appropriate injunctive or equitable relief in addition to other remedies.
Publicity
QuestPDF will not publicly identify you as a customer or use your name, logo, trademark, or other identifying brand elements without your prior written approval.
QuestPDF may use aggregated or anonymised customer statistics, provided they do not identify you.
Assignment
Neither party may assign this Agreement without the other party's prior written consent, except that either party may assign this Agreement without consent:
- to an Affiliate; or
- in connection with a merger, acquisition, corporate reorganisation, or sale of all or substantially all of the relevant business or assets,
provided that the assignee assumes the assigning party's obligations under this Agreement.
Any other requested consent may not be unreasonably withheld, conditioned, or delayed.
Product Continuity
QuestPDF may discontinue the Software or specific versions from time to time.
If QuestPDF decides to discontinue the paid product generally, QuestPDF will use commercially reasonable efforts to give existing paid licensees advance notice and to preserve access, for a reasonable period, to the last version made available during their active paid term.
If you hold an Enterprise License, QuestPDF will additionally use commercially reasonable efforts to: (a) provide at least 12 months' advance notice before any general discontinuation of the paid product; (b) keep the last version made available during your active paid term available for download throughout that notice period; and (c) provide reasonable transition assistance during that notice period, such as answering migration questions and continuing to address critical defects. In addition, QuestPDF will not remove, and will not request the removal of, previously published stable releases of the Software from public distribution channels such as NuGet, except where removal is required by law or is reasonably necessary to address a critical security risk. The commitments in this paragraph do not apply to the extent QuestPDF is prevented by circumstances beyond its reasonable control, and are subject to the Limitation of Liability section.
This section does not require QuestPDF to place the Software into escrow or to release it under an open-source license.
Application of This Version
This version of the Agreement applies to licenses purchased on or after the Effective Date stated above.
If you purchased your license under a previous version: the coverage described in the License Permissions section, including the removal of any Developer-count limitation, applies to you from the Effective Date as a beneficial change and supersedes any Developer-count limitation stated in a previous version or in your license confirmation document; and your current renewal price becomes your Locked Renewal Price. All other changes apply to you as described in the Changes to Terms section of the Terms of Service. Pricing and terms stated in a signed Order Form continue to control for the period stated there.
Governing Law
This Agreement is governed by the laws of Poland, excluding conflict-of-laws rules and excluding the United Nations Convention on Contracts for the International Sale of Goods (CISG).
Any dispute arising out of or relating to this Agreement shall be brought before the competent courts of Poland having jurisdiction over QuestPDF's registered seat, except to the extent mandatory law requires otherwise.
A different governing law or dispute forum applies only if expressly stated in a signed Order Form or other mutually executed agreement.
Third-Party Components / OSS components
The Software includes certain third-party open-source components. Such components remain subject to their own license terms, which are included with or referenced in the QuestPDF NuGet package.
If there is a conflict between this Agreement and a mandatory third-party license applying to such a component, the third-party license controls only for that component.
General Provisions
Entire Agreement. This Agreement, together with the License Selection Guide, the Terms of Service, the Security Policy, the Privacy Policy, any signed Order Form, any mutually executed Enterprise Addendum, and any mutually executed data protection addendum, is the entire agreement regarding the Software.
Purchase Orders. Any pre-printed or standard terms in a purchase order, procurement portal, or similar customer document do not apply unless QuestPDF expressly accepts them in a signed agreement.
Order of Precedence. If there is a conflict, the following order applies: (1) signed Order Form or Enterprise Addendum; (2) mutually executed data protection addendum; (3) this Agreement; (4) the License Selection Guide; (5) the Terms of Service; (6) the Security Policy; (7) the Privacy Policy.
Survival. Any provision that by its nature should survive expiration or termination of this Agreement will survive, including Ownership and Customer Content, License Restrictions, Post-Expiration Rights, Confidentiality, payment obligations accrued before expiration or termination, Limitation of Liability, Intellectual Property Indemnification, Licensee Indemnification, Export Control and Sanctions, Injunctive Relief, Governing Law, Third-Party Components / OSS Components, and General Provisions.
Severability. If any provision is unenforceable, the remaining provisions remain in effect.
No Waiver. A failure to enforce a provision is not a waiver of later enforcement.
Notices. Notices to QuestPDF must be sent to contact@questpdf.com. Notices to you may be sent to the email address associated with your purchase.
Independent Contractors. The parties are independent contractors.
Headings. Headings are for convenience only and do not affect interpretation.
