PHIFLOW COMMERCIAL LICENSE AGREEMENT

This Commercial License Agreement ("Agreement") governs the use of the PhiFlow software,
including any associated source code,binaries,documentation,and related materials
(collectively,the "Software").

BY DOWNLOADING,INSTALLING,COPYING,OR USING THE SOFTWARE,YOU ("LICENSEE") AGREE TO
BE BOUND BY THIS AGREEMENT. IF YOU DO NOT AGREE,DO NOT USE THE SOFTWARE.

DEFINITIONS
1.1 "Licensor" means [Your Company Name].
1.2 "Licensee" means the individual or legal entity exercising rights under this Agreement.
1.3 "Authorized Users" means employees and contractors of Licensee who are permitted to use
 the Software under Licensee’s control and solely for Licensee’s benefit.
1.4 "Production Use" means use in any live environment where the Software processes
 real or synthetic workloads as part of delivering services to internal or external users.

LICENSE GRANT
2.1 Subject to full compliance with this Agreement and payment of applicable fees,Licensor
 grants Licensee a non-exclusive,non-transferable,non-sublicensable,revocable license to:
 (a) install and use the Software for Licensee’s internal business purposes;
 (b) permit Authorized Users to use the Software on Licensee’s behalf.

2.2 License Scope. The license scope (e.g.,node limits,instance limits,environments,
 subscription term) is defined by the commercial offer,invoice,or written order
 ("Order"). If there is a conflict,the Order controls.

RESTRICTIONS
3.1 Licensee shall not:
 (a) sublicense,sell,rent,lease,distribute,or otherwise provide the Software to any
 third party,except as expressly allowed in the Order;
 (b) publish,disclose,or make available the Software source code to any third party;
 (c) reverse engineer,decompile,disassemble,or attempt to derive source code from the
 Software,except to the extent such restrictions are prohibited by applicable law;
 (d) remove or alter any copyright,trademark,or proprietary notices;
 (e) use the Software to provide time-sharing,service bureau,hosting,or SaaS services
 to third parties,unless explicitly permitted by the Order.

OWNERSHIP
4.1 The Software is licensed,not sold. Licensor retains all right,title,and interest in
 and to the Software,including all intellectual property rights.

UPDATES AND SUPPORT
5.1 Updates,maintenance,and support (if any) are provided only as specified in the Order.
5.2 Licensor may modify the Software over time. Features may change between versions.

CONFIDENTIALITY
6.1 The Software (including any non-public APIs,performance information,and source code)
 is confidential and proprietary to Licensor. Licensee shall protect it using at least
 reasonable care and not disclose it to third parties.

TERMINATION
7.1 This Agreement is effective until terminated.
7.2 Licensor may terminate this Agreement immediately if Licensee materially breaches any
 term and fails to cure the breach within 10 days of notice (or immediately for
 unauthorized distribution of the Software).
7.3 Upon termination,Licensee must cease all use of the Software and destroy all copies.

DISCLAIMER OF WARRANTIES
8.1 THE SOFTWARE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND.
 LICENSOR DISCLAIMS ALL WARRANTIES,EXPRESS OR IMPLIED,INCLUDING MERCHANTABILITY,
 FITNESS FOR A PARTICULAR PURPOSE,AND NON-INFRINGEMENT.

LIMITATION OF LIABILITY
9.1 TO THE MAXIMUM EXTENT PERMITTED BY LAW,LICENSOR SHALL NOT BE LIABLE FOR ANY INDIRECT,
 INCIDENTAL,SPECIAL,CONSEQUENTIAL,OR PUNITIVE DAMAGES,OR ANY LOSS OF PROFITS,
 REVENUE,DATA,OR BUSINESS INTERRUPTION.
9.2 LICENSOR’S TOTAL LIABILITY UNDER THIS AGREEMENT SHALL NOT EXCEED THE AMOUNT PAID BY
 LICENSEE FOR THE SOFTWARE IN THE 12 MONTHS PRECEDING THE EVENT GIVING RISE TO LIABILITY.

GOVERNING LAW
10.1 This Agreement is governed by the laws of [Your Jurisdiction],without regard to
 conflict of law principles.
10.2 Any disputes shall be resolved in the courts of [Your Venue],unless otherwise
 specified in the Order.
