Papyra License Agreement

1. Definitions

  "Licensor" means PapyraSoftware - Stefan Nikolei, the author and rights holder of
  Papyra.

  "Software" means Papyra, distributed solely in compiled form via
  NuGet (the "Papyra" package) together with its associated companion
  tooling.

  "You" / "Licensee" means the individual or legal entity exercising
  rights under this Agreement. "Affiliate" means any entity that
  controls, is controlled by, or is under common control with a party,
  where "control" means ownership of more than 50% of the voting
  interests.

  "License Key" means a signed key issued by Licensor that identifies a
  license tier and a validity period.

  "Evaluation Key" means a License Key identifying the Evaluation tier,
  issued free of charge for a limited validity period (normally
  45 days).

  "Annual Gross Revenue" means the aggregate worldwide gross revenue of
  You together with all of Your Affiliates in the most recently
  completed fiscal year. For non-profit entities, gross revenue
  includes donations, grants, and program income.

  "Open Source Software" means software whose complete source code is
  publicly available and that is distributed under a license approved
  by the Open Source Initiative (OSI).

  "Production Use" means any use of the Software other than evaluation,
  development, testing, or staging - in particular, generating
  documents that are used in or delivered to a live business context.

2. Community Use

  You qualify for Community use if You are:

    (a) an individual;
    (b) an entity - whether for-profit or non-profit - with less than
        $1,000,000 USD in Annual Gross Revenue; or
    (c) any entity, regardless of Annual Gross Revenue, but solely for
        use of the Software as part of Open Source Software.

  Eligibility under (c) is limited to the Open Source Software
  concerned; any other use of the Software by the same entity is
  assessed under (a) and (b) and Sections 3–4.

  If You qualify, Licensor grants You a royalty-free, non-exclusive,
  non-transferable, worldwide license to use the Software, including
  Production Use. A Community License Key - available free of charge on
  request at https://papyra.rocks/community - is required to build
  software that references the Software: the build integration
  described in Section 7 does not complete without a valid, current
  License Key.

3. Evaluation Use

  Regardless of Annual Gross Revenue, Licensor grants You a
  royalty-free, non-exclusive, non-transferable, worldwide license to
  use the Software for evaluation, development, testing, and staging
  purposes under an Evaluation Key, issued free of charge on request
  at https://papyra.rocks/community and at Licensor's reasonable
  discretion. This grant does not extend to Production Use by entities
  that do not qualify under Section 2.

4. Commercial License

  If You are an entity - whether for-profit or non-profit - with
  $1,000,000 USD or more in Annual Gross Revenue, Production Use of the
  Software - other than use qualifying for Community use under
  Section 2(c) - requires a current Professional or Enterprise License
  Key (see https://papyra.rocks/pricing). Production Use at or above
  this threshold without such a License Key is a breach of this
  Agreement, regardless of which License Key tier was used to build the
  application.

  A Professional or Enterprise License Key grants You and Your
  Affiliates a non-exclusive, non-transferable, worldwide license to
  use the Software, including Production Use. The Professional and
  Enterprise tiers differ in the accompanying services (such as support
  and invoicing options) as described at https://papyra.rocks/pricing,
  not in the scope of this license grant.

5. License Term and Renewal

  License Keys are valid for the period stated at issuance (normally
  one year; Evaluation Keys normally 45 days). After a License Key
  expires, continued Production Use by entities subject to Section 4
  requires renewal, and building against the Software again requires a
  valid, current License Key (Section 7). Applications already built
  and deployed do not stop functioning on expiry, but continued
  above-threshold Production Use without renewal is a breach of this
  Agreement.

6. Distribution and Restrictions

  You may embed the Software as an integrated component of Your own
  applications and distribute those applications to end users,
  including desktop, server, on-premises, and cloud/SaaS deployments.
  End users of Your applications do not require their own license for
  the use of Your applications as such.

  You may not:

    (a) offer the Software's document-composition or rendering
        functionality to third parties as a standalone library, SDK,
        API, or service whose primary value is that functionality -
        i.e., use the Software to build a product that competes with
        the Software;
    (b) distribute the Software on a standalone basis or expose it to
        third parties as a development component;
    (c) share License Keys with any party other than You and Your
        Affiliates (use by Your contractors and CI/build systems on
        Your behalf is permitted);
    (d) circumvent, disable, or defeat the License Key verification
        performed by the Software's build integration (Section 7); or
    (e) decompile, disassemble, or reverse engineer the Software,
        except to the extent such restriction is prohibited by
        applicable law.

  The Software is licensed only in compiled/object form. No rights are
  granted to any underlying source code beyond what is strictly
  necessary to use the compiled Software as intended via standard .NET
  tooling.

7. License Verification

  The Software's build integration verifies the signature and validity
  period of the supplied License Key offline at build time. A missing,
  malformed, expired, or invalid License Key causes the build to fail
  with an error. The Software embeds no notice of any kind in generated
  documents. This verification is a technical measure that supports
  compliance with Sections 2–5 - it is not the mechanism by which
  compliance is determined, and a successful build does not itself
  establish that Your use is licensed.

8. Third-Party Components

  The Software incorporates or depends on third-party components,
  including the Liberation fonts (SIL Open Font License 1.1) and the
  DocumentFormat.OpenXml and SixLabors.Fonts packages. Their license
  terms are set out in the accompanying THIRD-PARTY-NOTICES file and at
  https://papyra.rocks/docs/reference/third-party-licenses. Note that
  SixLabors.Fonts is licensed to You directly by Six Labors under the
  Six Labors Split License; a Papyra license does not include a Six
  Labors commercial license.

9. Term and Termination

  This Agreement remains in effect until terminated. If You breach this
  Agreement, Licensor may give You written notice of the breach; if the
  breach is not cured within 30 days of such notice, this Agreement and
  all licenses granted under it terminate automatically. A breach of Section 6(a), 6(d), or 6(e)
  terminates this Agreement immediately without notice. Upon
  termination, You must cease all use of the Software. Sections 8, 10,
  and 11 survive termination.

10. Warranty; Limitation of Liability

  For Community and Evaluation use, the Software is provided free of
  charge; Licensor's liability for such use is limited to intent and
  gross negligence, and to fraudulently concealed defects.

  For paid licenses, Licensor is liable without limitation for intent
  and gross negligence and for injury to life, body, or health. For
  slight negligence, Licensor is liable only for breach of essential
  contractual obligations (obligations whose fulfilment makes the
  proper performance of this Agreement possible in the first place and
  on whose fulfilment You may reasonably rely), and such liability is
  limited to the foreseeable damage typical for this type of contract,
  capped at the license fees paid by You in the 12 months preceding
  the event giving rise to liability. Liability under mandatory
  statutory provisions (including product liability law) remains
  unaffected. Except as stated above, all warranties and liability are
  excluded to the extent permitted by law; the Software is provided
  "as is".

11. General

  This Agreement is governed by the laws of the Federal Republic of
  Germany, excluding its conflict-of-laws rules and the UN Convention
  on Contracts for the International Sale of Goods (CISG). If You are a
  merchant, a legal entity under public law, or a special fund under
  public law, the exclusive place of jurisdiction is the Licensor's
  seat. Should any provision of this Agreement be or become invalid,
  the validity of the remaining provisions remains unaffected. This
  Agreement constitutes the entire agreement regarding the Software
  and supersedes prior drafts and understandings. Terms of a new
  version of this Agreement apply only to Software versions released
  under it.
