License Terms for e-conomic ERP Connector
The connector is provided under a proprietary license model. Organizations must obtain an active subscription to gain access. This subscription grants a right of use in accordance with the terms and conditions set forth below.
1. License Type and Right of Use
The connector is provided as a subscription-based software license with annual prepayment. The customer is granted a non-exclusive, non-transferable right to use this connector, only in compliance with the Dynamicweb ecosystem, which is provided as a hosted service via the DynamicWeb platform. The right of use is valid only during the period in which the subscription is paid and active.
2. Scope of Use and Installation Limitations
The license covers one company and one DynamicWeb solution integrated with a single ERP account. Multiple language versions of the webshop are permitted, provided they are hosted under the same installation and use the same ERP account. The connector may not be used across multiple websites or ERP accounts. If the customer operates several ERP accounts within the same DynamicWeb installation, a separate license is required for each ERP account. The connector may be used in one associated staging or test environment connected to the licensed installation.
3. Ownership and Intellectual Property
The connector's source code, structure, and architecture are the intellectual property of Flex Media and Thulin Holding ApS and may not be copied, altered, distributed, or used in competing products without prior written consent.
4. Updates and Modifications
Updates to the connector are provided continuously to ensure compatibility with the latest versions of the respective ERP system. These updates are included in the subscription price. If an update requires changes to the customer's setup, configuration, or custom development—such as adjustments due to changes in the ERP system’s API or data model—these implementation efforts remain the responsibility of the customer.
5. Restrictions and Prohibited Use
The customer may not:
- Perform reverse engineering or attempt to reconstruct the connector's functionality.
- Resell, lease, sublicense, or otherwise transfer the connector to any third party.
- Use the connector as the basis for developing competing products or services.
6. Hosting and Data Security
The connector is hosted as part of the customer’s DynamicWeb installation and does not process or store personal data outside the DynamicWeb or ERP environment. The connector’s operation and security are governed by DynamicWeb’s hosting infrastructure and security policies.
The availability and performance of the connector depend primarily on the infrastructure provided by DynamicWeb, as well as other supporting services required for the connector to operate. For this reason, Flex Media does not guarantee a specific uptime level. Availability is inherently dependent on third-party platforms and services outside of Flex Media’s direct control. Flex Media shall not be held liable for downtime, limited accessibility, incorrect license validation, or interruptions caused by infrastructure issues, service outages, or operational errors in supporting systems.
7. Customer Responsibility for Integration and Operation
Flex Media is not liable for malfunctions resulting from ERP system changes, misconfiguration, or insufficient access (e.g., API keys or network access). The customer is also responsible for testing the connector’s functionality after updates to either the ERP system or the DynamicWeb platform.
8. Billing, Payment, and Termination
The license is invoiced annually and renews automatically unless the customer terminates it in writing with at least 3 months’ notice before the start of the next subscription period. In case of non-payment, Flex Media reserves the right to deactivate the connector following written notice. Payment terms, dunning procedures, and any applicable interest follow Danish legislation and Flex Media’s general terms and conditions.
9. Limitation of Liability
Flex Media shall not be held liable for any direct, indirect, incidental, special, or consequential damages, including but not limited to lost revenue, business interruption, data loss, or other losses arising from the use of the connector, regardless of the cause and regardless of any notice of the possibility of such damages.
10. Governing Law and Jurisdiction
These license terms are governed by Danish law. Any disputes shall be settled by the ordinary courts of law, with the Maritime and Commercial Court in Copenhagen (Sø- og Handelsretten i København) as the agreed venue.
11. Reservation in Case of Technological Changes and Discontinuation
11.1 Major Version Changes in Third-Party Platforms
If a third-party platform to which the connector has been developed— including but not limited to ERP systems or the DynamicWeb platform—releases a new version that significantly alters integration options, API structures, or technical architecture, Flex Media reserves the right not to provide further development or adaptation of the existing connector to support the new version.
Flex Media is under no obligation to develop a new connector for such a version. If the customer wishes to integrate with the new version, a separate license and development agreement must be entered into. The existing connector remains unchanged and covered by the current license as long as it is used on its originally supported platform version and in accordance with the other terms.
11.2 Discontinuation of Support
Flex Media reserves the right to terminate support for a connector with 12 months’ written notice if continued operation and maintenance of the connector is no longer technically, economically, or commercially viable. This may include situations where the connector is used by only a very limited number of customers or where the platform the connector integrates with has been phased out or is no longer supported by its manufacturer.
The termination will be communicated in writing with a justification. During the notice period, the customer will retain access to the connector under the same terms unless otherwise agreed in writing.
