This software is licensed, not sold.


1. Grant of License
Subject to the terms of this agreement, STwo Industries GmbH grants the customer a non-exclusive, non-transferable license to use the software "FactoorSharp" within the customer's organization.
The license is granted per company and must reflect the actual usage, in particular the number of developers actively using the software.


2. License Tiers and Fair Use
Usage of the software is limited according to the purchased license tier.
The customer is responsible for selecting the appropriate license tier based on actual usage. If usage exceeds the licensed scope, the customer is required to upgrade to a suitable license.


3. Redistribution
Use of the software within customer applications (including SaaS solutions) is permitted only if a corresponding redistribution license has been obtained.
Distribution of the software itself or license keys to third parties is not permitted.


4. License Validation
The software may periodically perform license validation by connecting to servers operated by STwo Industries GmbH.
During this process, the following data may be transmitted:
- license key
- hashed IP address
- hashed username
- hashed domain

This data is used solely for license validation and prevention of misuse.


5. Data Processing

When using features for processing or validating documents (including Factur-X and XRechnung), transmitted data may contain personal information.
Such data is processed exclusively for technical validation purposes.
No storage of document data takes place.
No use of the data for analytics, profiling, training, or any other purposes occurs.


6. Term and Updates
The software is provided under a subscription model.
After expiration of the subscription, the customer retains a perpetual right to use the last version made available during the active subscription period.
No further updates, support, or maintenance are provided after expiration.


7. Disclaimer of Warranty
The software is provided "as is" without warranty of any kind.
STwo Industries GmbH makes no warranties regarding the correctness, completeness, or legal compliance of results generated using the software.


8. Limitation of Liability
To the maximum extent permitted by applicable law, STwo Industries GmbH shall not be liable for any damages arising from the use of the software.


9. Governing Law
This agreement shall be governed by the laws of the Federal Republic of Germany.
Place of jurisdiction is Hamburg, Germany.
