Additional Use Grant

The Licensor grants permission to make production use of the Licensed Work without purchasing a commercial license only if all of the following conditions are satisfied.

1. Organization size

The organization using the Licensed Work:

• Has fewer than eighty (60) full-time equivalent employees, and
• Has less than twenty million U.S. dollars (USD $15,000,000) in annual gross revenue, and
• Is not directly or indirectly controlled by, controlling, under common control with, or acting on behalf of an entity that exceeds either of the above thresholds.

2. Prohibited uses

The Licensed Work may not be used in production if it is:

• Offered as a managed, hosted, or Software-as-a-Service (SaaS) offering, or

• Included in, embedded within, or redistributed as part of any product or service whose primary or substantial purpose is to provide:

  • workflow orchestration
  • durable execution
  • agent runtime infrastructure
  • agent frameworks
  • distributed workflow systems
  • or other competing infrastructure functionality

• Commercially redistributed, sublicensed, or made available to third parties for a fee or as part of a commercial offering, or

• Used to develop, operate, or power any product, platform, or service that provides functionality substantially similar to or competitive with the Licensor's commercial products or services, including but not limited to:

  • agent runtime infrastructure
  • durable execution platforms
  • workflow orchestration systems
  • managed agent platforms
  • or other competing infrastructure platforms

  This restriction applies regardless of whether the Licensed Work is distributed to third parties or used internally to power such a service.

Any production use that does not satisfy all of the above conditions requires a valid commercial license from Diagrid Inc.

The Additional Use Grant above supersedes the “non-production use” limitation described in the Terms section for users who meet these conditions.

Change Date

Change Date: March 1, 2030

On the Change Date, or the fourth anniversary of the first publicly available distribution of a specific version of the Licensed Work under this License (whichever comes first), the Licensed Work will automatically be licensed under:

Apache License, Version 2.0

Notice

This license is based on the Business Source License 1.1 with modifications by Diagrid Inc.

The MariaDB covenant provisions have been removed and the Change License has been designated as the Apache License, Version 2.0.

“Business Source License” is a trademark of MariaDB Corporation Ab.

Terms

The Licensor hereby grants You the right to:

• copy
• modify
• create derivative works
• redistribute
• and make non-production use

of the Licensed Work.

Production use is permitted only as allowed under the Additional Use Grant.

All copies of the original and modified Licensed Work, and derivative works of the Licensed Work, are subject to this License.

This License applies separately for each version of the Licensed Work, and the Change Date may vary for each version released by the Licensor.

You must conspicuously display this License on each original or modified copy of the Licensed Work.

If you receive the Licensed Work in original or modified form from a third party, the terms and conditions set forth in this License apply to your use of that work.

License Condition

The rights granted under this License are conditioned upon compliance with all terms and restrictions of this License.

Any use of the Licensed Work that does not comply with these terms constitutes copyright infringement and automatically terminates the rights granted under this License for the current and all other versions of the Licensed Work.

This License does not grant you any right to use any trademark, service mark, or logo of Diagrid Inc or its affiliates.

TO THE EXTENT PERMITTED BY APPLICABLE LAW, THE LICENSED WORK IS PROVIDED ON AN "AS IS" BASIS.

LICENSOR HEREBY DISCLAIMS ALL WARRANTIES AND CONDITIONS, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

• MERCHANTABILITY
• FITNESS FOR A PARTICULAR PURPOSE
• NON-INFRINGEMENT
• TITLE
