1. Purpose and Scope

This License governs the use of the software product Account-Core, owned and developed by Codertax Sistemas S.A..
It grants rights of non-exclusive internal use and modification for internal use only to specific public tax administrations expressly authorized by Codertax Sistemas S.A.

This document constitutes the public reference license, published at https://codertax.com, and is legally effective only when accompanied by a Letter of Authorization issued by the Licensor in accordance with these terms.

2. Definitions

• "License" means this Intrnal Use and Modify for Internal Use License, as defined by Sections 1 through 9.
• "Licensor" means Codertax Sistemas S.A. or any authorized copyright holder granting this License.
• "You" (or "Your") means the public tax administration identified in a valid Letter of Authorization issued by the Licensor.
• "Implementer" means any company or professional authorized by Codertax Sistemas S.A. to install, integrate, or maintain the software, holding a valid commercial agreement with the Licensor.
• "Source" form means the preferred form for making modifications, including source code and configuration files.
• "Object" form means any compiled or transformed form of the Work.
• "Work" means the software Account-Core and any related materials made available under this License.
• "Derivative Works" means works based on the Work that include modifications, adaptations, or elaborations, in Source or Object form, created for the Licensee’s internal use.

3. Grant of Copyright License

Subject to the terms and conditions of this License, each Contributor hereby grants to You a perpetual, worldwide, no-exclusive, no-charge, irrevocable copyright license to use, modify, and create Derivative Works of the Work for internal use only within Your organization.

No rights of publication, sublicensing, commercialization, or redistribution are granted.

4. Grant of Patent License

Subject to the terms and conditions of this License, each Contributor hereby grants to You a perpetual, worldwide, no-exclusive, no-charge, irrevocable patent license to make and use the Work internally, limited to patent claims necessarily infringed by the Contributor’s own Contributions.

If You initiate patent litigation alleging that the Work infringes a patent, all patent rights under this License shall terminate as of the date such litigation is filed.

5. Prohibition of Redistribution

You may not reproduce, publish, disclose, sell, sublicense, or distribute the Work or any Derivative Works, in Source or Object form, with or without modifications, in any medium.
All use must remain confined to Your internal institutional systems.

6. Implementers and Commercial Conditions

Implementation, integration, or maintenance of the Work may only be performed by authorized Implementers who:

1. Hold a Letter of Authorization issued by Codertax Sistemas S.A.;
2. Have a valid commercial contract with Codertax Sistemas S.A. covering royalty fees, support services, and any additional agreed services; and
3. Comply with all trademark, confidentiality, and intellectual property requirements.

If the Implementer’s authorization or contract expires or is breached, the License granted to the corresponding Administration automatically becomes suspended until regularization.

7. Trademark and Brand Recognition

All installations, interfaces, documentation, reports, and materials related to the software must visibly include the legend:

“Developed by Codertax Sistemas S.A. – Codertax Account-Core.”

Administrations and Implementers shall:

• Maintain the commercial name and brand in all screens, forms, reports, documents, and communications related to the software.
• Refrain from embedding, integrating, re-labeling, altering, concealing, or minimizing any reference to the product name or its origin.
• Avoid integrating the software in ways that obscure or eliminate its identification.
• Include explicit mention of “Codertax Account-Core” in all commercial proposals, bids, presentations, marketing materials, or experience references submitted to third parties, clearly identifying Codertax Sistemas S.A. as the manufacturer.
• Use of trademarks or logos must comply with the official Codertax Sistemas brand guidelines.

8. Validity of the License

This License is legally effective only when all the following conditions are met:

1. A Letter of Authorization has been issued by Codertax Sistemas S.A. identifying the beneficiary Administration, software version, authorized Implementer, and contractual reference.
2. The authorized Implementer holds a current commercial contract with Codertax Sistemas S.A. including payment of royalty fees, support, and other agreed services.
3. Both documents (Letter and Contract) remain valid during implementation or maintenance.

Without these conditions, no rights of use or installation are recognized or enforceable.

Continuation of License after Implementation

Once the implementation project has been completed and accepted, the beneficiary Administration shall retain the right to continue using the software under this License for its own internal purposes, even if the authorized Implementer ceases to provide services.

Such continued use shall remain subject to all the terms and restrictions of this License.
The Administration may, if it so wishes, enter into a direct commercial agreement with Codertax Sistemas S.A. for maintenance, updates, or technical support.

9. Disclaimer of Warranty and Limitation of Liability

The Work is provided “AS IS”, without warranties or conditions of any kind, express or implied, including but not limited to title, non-infringement, merchantability, or fitness for a particular purpose.

Use of the Work is at Your own risk. The Licensor shall not be liable for any damages, including direct, indirect, incidental, or consequential damages arising from use or inability to use the Work.

Commercial Liability Exception

The Licensor may assume specific responsibilities or warranties only under a separate Commercial License or Service Agreement expressly executed with the Licensee or Implementer.
Such agreement shall define the scope of liability, service levels, and indemnities, superseding the exclusions above to the agreed extent.

Absent such agreement, the software is used under the free and liability-exempt terms of this License.

10. Relationship to Apache License 2.0

This License is derived from and inspired by the Apache License Version 2.0, maintaining its structure and legal clarity while expressly removing rights of redistribution and sublicensing and restricting use to authorized institutional purposes only.

11. Termination

Violation of any provision of this License or of the associated authorization or commercial agreements immediately terminates the right of use, without prejudice to legal action by the Licensor.
