This software and its accompanying documentation ("Software") are proprietary
and confidential. Use of the Software is governed by the following terms:

1. LICENSE GRANT
   Subject to the terms of a separate commercial agreement with Cayaqui, the
   licensee is granted a limited, non-exclusive, non-transferable license to
   use the Software solely for internal business purposes.

2. RESTRICTIONS
   Without prior written permission from Cayaqui, the licensee shall NOT:
   a) redistribute, sublicense, sell, rent, lease, or transfer the Software;
   b) modify, decompile, reverse engineer, or create derivative works;
   c) remove or alter any copyright, trademark, or proprietary notices;
   d) use the Software to develop a competing product.

3. OWNERSHIP
   All rights, title, and interest in and to the Software, including all
   intellectual property rights, remain the exclusive property of Cayaqui.

4. NO WARRANTY
   THE SOFTWARE IS PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR
   IMPLIED, INCLUDING BUT NOT LIMITED TO THE WARRANTIES OF MERCHANTABILITY,
   FITNESS FOR A PARTICULAR PURPOSE, AND NONINFRINGEMENT. IN NO EVENT SHALL
   THE AUTHORS OR COPYRIGHT HOLDERS BE LIABLE FOR ANY CLAIM, DAMAGES, OR
   OTHER LIABILITY.

5. TERMINATION
   This license terminates automatically upon any breach. Upon termination,
   the licensee must cease all use and destroy all copies of the Software.
